Non-Disclosure Agreement

Poppin Notary Business Center β€” Provider Platform

This Non-Disclosure Agreement ("Agreement") is entered into as of the date signed below between Poppin Notary Business Center LLC, a Washington State limited liability company ("Company"), and the individual signing below ("Recipient").

1. Confidential Information

"Confidential Information" means all non-public information disclosed by Company to Recipient, including but not limited to: the PNBC provider platform and its features, workflows, dispatch systems, job offer mechanics, pricing models, client data, business strategies, technical architecture, training materials, and any other proprietary information designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

2. Obligations of Recipient

Recipient agrees to:

  • Hold all Confidential Information in strict confidence;
  • Not disclose Confidential Information to any third party without prior written consent from Company;
  • Use Confidential Information solely to evaluate potential participation in the PNBC provider network;
  • Not reverse engineer, copy, reproduce, or exploit any aspect of the platform or its underlying systems;
  • Not use Confidential Information to build, assist in building, or advise on any competing platform or service.

3. Term

This Agreement is effective upon signing and remains in effect for three (3) years. Obligations regarding trade secrets shall survive indefinitely.

4. No License

Nothing in this Agreement grants Recipient any right, title, license, or interest in any Confidential Information or intellectual property of Company. All Confidential Information remains the exclusive property of Company.

5. Return or Destruction

Upon request or termination of this Agreement, Recipient shall promptly return or destroy all Confidential Information and any copies, notes, or summaries thereof, and certify such destruction in writing upon request.

6. Remedies

Recipient acknowledges that any breach of this Agreement may cause irreparable harm to Company for which monetary damages would be inadequate, and that Company shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity.

7. General Provisions

  • Governing Law: This Agreement is governed by the laws of the State of Washington.
  • Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding its subject matter.
  • Electronic Signature: Recipient agrees that typing their full name constitutes a valid electronic signature with the same legal effect as a handwritten signature.
  • Severability: If any provision is found invalid, the remaining provisions continue in full force.

This Agreement is between Poppin Notary Business Center LLC and the individual signing below. By signing, you acknowledge you have read, understood, and agree to be bound by these terms.
